Article 1 (Purpose)
The purpose of this terms of use is to prescribe the matters concerning the terms of use as well as the procedures of accessing and using the Web Services of www.itsilkroad.com as provided by IT-SilkRoad, LTD(hereinafter, referred to as "Company").

Article 2 (Disclosure, Effect and Modification of terms of use)
The terms of use may be disclosed by being notified to the members on the page of membership registration, and the Company may, if deemed necessary, modify any provisions of the terms of use for the reasons of system modification, such as renewal of site, or other important causes for business.

Article 3 (Applicable Rules Other Than Terms of Use)

Article 4 (Agreement on Use of Services)

1. Agreements on the use of the services shall be made with respect to the respective members' real names, and other private information.

2. The person who fails to enter real name or information based on the fact shall be rejected or restricted to the access of the use of the services without prior notice, and shall not be subject to guaranteed legal protection.

Article 5 (Acceptance of Offer of Use)

1. The capacity for the services falls short;

2. There might exist any technical impediment in the provision of the services;

3. There exists any other reason connected to any business of the Company which makes it impossible to provide the Services;

4. Information of users is incompletely or falsely entered;

5. Subscription was applied is filed by using the name of another person;

6. When subscription was made with the purpose of obstructing social peace and order or established social morals and customs;

7. Other requirements for subscription as determined by the Company are not satisfied.

Article 6 (Obligation of Company)

1. The Company shall, in accordance with terms of use, make efforts to provide the services on an uninterrupted and stable basis.

2. The Company shall take care of opinions or complaints suggested by users as soon as possible if they deemed fair. Provided, That the Company, if immediate processing deems difficult, shall notify users of the reason for delay and processing schedule by notice or e-mail.

Article 7 (Obligation of Member)

1. A member shall comply with terms of use and the guidances and notices, etc. concerning the use of the services as notified by the Company, and shall not interfere with the business of the Company.

2. In a case a member uses fee-based services within the site, he/she shall faithfully pay the fees for the use of information or services as determined by the Company.

3. A member shall not use or transfer the services by the following acts, such as duplication, copying, alternation, translation, broadcasting and other uses without the Company's prior permission.

4. If any matter as entered is altered, a member shall, without delay, notify the Company of the modification.

Article 8 (Use of Service)

1. A user shall comply with the provisions of terms of use as provided by the Company.

2. Such matter concerning the use of the services which are not specified by this terms of use shall be governed by notices provided separately by the Company.

Article 9 (Provision of Information)

The Company may provide the users with various information which is deemed necessary in the course of the use of the services by e-mail or written letter, and any other means.

Article 10 (Running Advertisements)

1. The Company may insert information or advertisement related to the service provided by the Company in the service screen or in the home page and may send the same by e-mail to members.

2. The Company will not take any responsibility for all the losses and damages caused by participation of members in sales promotion activity inserted in the service provided or of advertisers through this service, or through related communication or deals.

Article 11 (The Restriction of the Use of the Services)

1. in case that the relevant post violates social orders or any good morals;

2. in case that a member is associated with criminal activity;

3. in case that a member gives damage to the honor of another person, or significantly obstructs another person to use the services;

4. in case that a member transmits the content against the will of others or promotional information, and so on ;

5. in case that a member commits any other act which may impede sound use of the services in such a way to give damage to the service ;

6. in case that a member infringes on intellectual property rights of other users or any third party, or that intellectual property right holder fairly claims infringement of intellectual property right;

7. in case that a member steals someone's ID and password;

8. in case of other violations of related Acts, and the case that the Company determines the relevant user is inadequate as a user.

Article 12 (Suspension of Provision of Services)
The Company may suspend the provision of the services, in part or in whole, for any of the following paragraphs :

1. in case that the relevant facilities-based telecommunications business operator or internet network operator suspends the provision of his service;

2. in case of power failure;

3. in case that it is inevitable to maintain or repair any equipment for the Services;

4. in case that there exists any obstacle to the normal use, such as trouble in any services equipment or congestion of the services uses;

5. in case that there exists war, natural disaster or its equivalent national emergency, or there exists any potential thereof.

Article 13 (Fees of Services)

1. A user may have membership for free of charge.

2. A user shall pay fees if he/she uses fee-based information services the Company provides, and differential rates may be applied depending on the services. In this case, service fee determined by the Company is notified to the user.

3. A user may not receive a refund even though access period or the number of use remains available.

Article14 (Exemptions and Compensation for Damage)

1. If it is impossible for the Company to provide the services due to any natural disaster or force majeure equivalent thereto, it shall be exempted from all the liabilities related to the provision of the services.

2. The Company shall not be liable for any damage to a user caused by the transactions between users or between users and a third party.

3. The Company shall not be liable for the accuracy and credibility of any information, data content, etc. posted on the site, and the user shall be liable for the use of these services.

4. A user shall be liable for any damage caused by the data posted or transmitted by users, or for any disadvantages in relation to data selected and the use of free services.

5. A user shall be liable for any damage caused by his/her mistakes in management of ID and password and other carelessness, or by unauthorized use by third parties, and so on.

6. In a case that damage occurs to the Company caused by the users who violate this terms of use, the user shall be liable for any damage to the Company thereby, and the user also shall exempt the Company from such damage.

7. A user recognizes that all services the Company provides on the site are references, and that the site may contain inaccurate information, or information that has changed, and so on, and that the Company shall not be liable for any damage thereby.

Article 15 (Settlement of Disputes)

1. The Company and the user of the services shall make any necessary efforts to resolve the dispute amicably occurring from or in relation to the use of the services.

2. The competent court in the place where the Company is located shall have jurisdiction over all disputes if the suit is filed despite the provision of above paragraph.
